HorminaCare Affiliate Program Terms & Conditions

Please read these Affiliate Program Terms & Conditions ("Terms") carefully before participating in the HorminaCare Affiliate Program ("Program").

By applying to, enrolling in, or participating in the Program, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Throughout these Terms, "HorminaCare," "we," "us," and "our" refer to HorminaCare, and "Affiliate," "you," and "your" refer to the individual or organization participating in the Program.

1. About the Affiliate Program

The HorminaCare Affiliate Program allows approved participants to refer new patients to HorminaCare using a unique referral code.

Affiliates may earn a commission when an eligible new patient uses their referral code and meets the qualifying requirements described below.

Participation in the Program does not create an employment, partnership, agency, joint venture, franchise, healthcare provider, or other representative relationship between you and HorminaCare.

2. Eligibility and Approval

You must be at least 18 years old and legally capable of entering into this Agreement to participate in the Program.

HorminaCare reserves the right to approve or reject an Affiliate application at its discretion.

We may also suspend or terminate participation if we determine that an Affiliate's conduct, content, promotional activities, audience, website, social media presence, or other activities are inconsistent with HorminaCare's values, these Terms, applicable law, or the integrity of the Program.

Participation may be denied or terminated for activities including, but not limited to:

  • unlawful, fraudulent, deceptive, threatening, defamatory, discriminatory, harassing, obscene, or otherwise harmful content or conduct;
  • infringement of intellectual property or other third-party rights;
  • false or misleading statements about HorminaCare;
  • misuse of the HorminaCare name, branding, referral codes, or promotional materials;
  • promotion in a manner that may reasonably damage HorminaCare's reputation;
  • impersonating HorminaCare or creating the impression that you are an employee, healthcare provider, agent, spokesperson, or official representative of HorminaCare; or
  • any attempt to manipulate, circumvent, or abuse the Affiliate Program.

3. Referral Codes

Each Affiliate will receive a unique referral code to share with their audience, community, friends, family, patients, clients, or other eligible individuals.

Referred patients must enter the Affiliate's referral code in the designated referral code section of the HorminaCare intake survey for the referral to be attributed to that Affiliate.

Affiliates are responsible for sharing their referral code accurately.

HorminaCare is not responsible for referrals that cannot reasonably be attributed to an Affiliate because a referral code was not provided, was entered incorrectly, or otherwise cannot be verified.

HorminaCare may investigate attribution issues and determine referral eligibility based on its records. HorminaCare's determination regarding referral attribution will be final, acting reasonably.

4. New Patient Discount

Eligible new patients who use an Affiliate's referral code will receive $10 CAD off their Results Review & Care Plan appointment.

The referral discount:

  • applies only to eligible new HorminaCare patients;
  • applies only to the patient's Results Review & Care Plan appointment;
  • cannot be applied retroactively unless HorminaCare agrees otherwise;
  • cannot be exchanged for cash;
  • cannot be transferred between patients; and
  • may not be combined with other discounts or promotions unless expressly permitted by HorminaCare.

HorminaCare may modify or discontinue referral discounts in accordance with Section 17 of these Terms.

5. Affiliate Commission

Affiliates currently earn $10 CAD for each Eligible Referral.

An Eligible Referral means a referred person who:

  1. is a new HorminaCare patient;
  2. appropriately uses the Affiliate's referral code;
  3. completes a free consultation with HorminaCare;
  4. proceeds with a Results Review & Care Plan appointment; and
  5. successfully pays for that Results Review & Care Plan appointment.

Commission is earned only on the new patient's initial Results Review & Care Plan appointment.

No additional commission is earned on:

  • Follow-Up appointments;
  • Quick Check-Ins;
  • future Results Review & Care Plan appointments;
  • prescriptions;
  • laboratory testing;
  • products;
  • third-party services; or
  • any other future HorminaCare services or purchases.

A referral does not generate commission merely because an individual enters a referral code, submits an intake survey, books a free consultation, or completes a free consultation.

6. Pending, Cancelled, Refunded, and Ineligible Referrals

Commissions may initially appear as pending while HorminaCare confirms referral eligibility and successful payment.

No commission will be payable for appointments or transactions that are:

  • cancelled;
  • unpaid;
  • unsuccessfully charged;
  • refunded;
  • reversed;
  • charged back;
  • fraudulent;
  • duplicated;
  • otherwise determined to be ineligible; or
  • associated with a violation of these Terms.

If commission has already been credited or paid for a transaction that is subsequently refunded, reversed, charged back, determined to be fraudulent, or otherwise found to be ineligible, HorminaCare may reverse, deduct, or recover the corresponding commission.

7. Existing Patients

The Program is intended to generate new HorminaCare patients.

Existing or previous HorminaCare patients are not eligible to become a new referral by using an Affiliate referral code.

Creating or using a different email address, account, name, or other information does not convert an existing patient into a new patient for purposes of the Program.

HorminaCare reserves the right to determine whether an individual qualifies as a new patient based on its records.

8. No Self-Referrals

Affiliates may not use their own referral code to obtain a discount or earn commission on their own HorminaCare services.

Affiliates may not create alternate accounts, identities, email addresses, or other arrangements for the purpose of generating commission or obtaining an unauthorized referral discount.

Affiliates also may not coordinate artificial referrals, sham transactions, or other arrangements whose primary purpose is to generate Affiliate compensation rather than make a genuine referral.

Such activity may result in reversal of commissions and immediate removal from the Program.

9. How You May Promote HorminaCare

Affiliates are welcome to promote HorminaCare through their own genuine content and communities, including websites, social media, newsletters, blogs, videos, podcasts, direct recommendations, and other appropriate channels, subject to these Terms.

Affiliates must clearly represent themselves as independent from HorminaCare.

You may describe your genuine personal experience with HorminaCare and may use factual information and approved promotional materials provided by HorminaCare.

You must not state or imply that:

  • you work for HorminaCare;
  • you are authorized to speak on behalf of HorminaCare;
  • HorminaCare has approved or endorsed statements that it has not actually approved;
  • you are a HorminaCare healthcare provider unless you separately hold that role;
  • your website, social media page, group, community, or business is owned or operated by HorminaCare; or
  • you have any partnership, agency, employment, sponsorship, or other relationship with HorminaCare beyond your actual Affiliate relationship.

10. Healthcare and Medical Claims

Because HorminaCare provides healthcare services, Affiliates must take particular care when discussing health conditions, treatments, outcomes, or medical information.

Affiliates must not make false, misleading, exaggerated, unsubstantiated, or guaranteed claims about HorminaCare or the results that a patient may experience.

Without HorminaCare's express approval, Affiliates must not claim or imply that HorminaCare:

  • cures, prevents, or guarantees improvement in any disease, disorder, or health condition;
  • guarantees a diagnosis, prescription, medication, laboratory test, treatment, or clinical outcome;
  • will produce a specific hormonal, fertility, weight, skin, hair, mood, metabolic, or other health outcome;
  • is appropriate for every patient; or
  • provides any service that HorminaCare does not actually provide.

Affiliates may discuss their genuine personal experiences, but personal experiences must not be presented as results that another patient is guaranteed or expected to achieve.

Affiliates may not provide medical advice on behalf of HorminaCare or present themselves as having clinical authority through their participation in the Affiliate Program.

If HorminaCare asks an Affiliate to modify or remove a statement that we reasonably believe is inaccurate, misleading, inappropriate, non-compliant, or potentially harmful, the Affiliate must promptly do so.

11. Advertising Disclosure

Affiliates must clearly disclose their financial or other material relationship with HorminaCare whenever promoting HorminaCare in circumstances where that relationship could affect how an audience evaluates the recommendation.

Disclosures must be clear, easy to understand, prominent, and reasonably close to the Affiliate's recommendation or endorsement.

Depending on the format, appropriate disclosures may include clear language such as:

"Affiliate link/code — I may earn a commission if you become a HorminaCare patient."

or

"#ad" / "#affiliate"

A referral code by itself should not be treated as sufficient disclosure of the Affiliate relationship.

Affiliates are responsible for complying with applicable advertising, influencer-marketing, consumer-protection, and endorsement requirements in the jurisdictions in which they promote HorminaCare.

12. Email, Text Messages, and Unsolicited Marketing

Affiliates may not promote HorminaCare through spam or unlawful unsolicited communications.

If you promote HorminaCare through email, SMS, direct messaging, or other electronic communications, you are responsible for ensuring that those communications comply with applicable laws, including consent, identification, and unsubscribe requirements where applicable.

Affiliates must not:

  • send mass unsolicited promotional messages;
  • use misleading sender information or subject lines;
  • conceal their identity;
  • falsely represent that a message was sent by HorminaCare;
  • use purchased, harvested, or unlawfully obtained contact lists; or
  • continue sending promotional communications to individuals who have requested that they stop.

HorminaCare may immediately suspend or terminate Affiliates who use spam or other inappropriate solicitation methods.

13. Paid Advertising and Search Marketing

Unless HorminaCare provides prior written approval, Affiliates may not use paid advertising to promote HorminaCare, including:

  • paid search advertising;
  • search engine marketing;
  • social media advertising;
  • display advertising;
  • programmatic advertising;
  • native advertising;
  • sponsored placements; or
  • other paid media campaigns.

Affiliates may not bid on or purchase keywords containing:

  • "HorminaCare";
  • variations or misspellings of HorminaCare;
  • HorminaCare trademarks or branded terms; or
  • combinations of HorminaCare's brand name with commercial search terms.

Affiliates may not engage in ad hijacking, redirect users who intended to visit HorminaCare directly, or use deceptive advertising practices to capture HorminaCare-branded traffic.

HorminaCare may approve specific paid advertising arrangements in writing on a case-by-case basis.

14. Referral Code and Coupon Promotion

Affiliates may promote only the referral code assigned or expressly authorized by HorminaCare.

Affiliates may not:

  • create unauthorized HorminaCare discount or referral codes;
  • modify the terms of their referral offer;
  • advertise expired, invalid, fabricated, or unauthorized offers;
  • falsely state that a discount is larger than it is;
  • misrepresent the conditions required to receive a discount;
  • instruct individuals how to circumvent new-patient or other eligibility requirements;
  • publish codes belonging to another Affiliate; or
  • manipulate attribution to claim a referral generated by another person or channel.

Referral codes may not be submitted to or promoted primarily through coupon, discount-code, deal-aggregation, cashback, rebate, or similar websites or services without HorminaCare's prior written approval.

15. HorminaCare Brand and Intellectual Property

HorminaCare retains all rights in its name, logos, trademarks, website content, graphics, photographs, designs, copy, clinical materials, educational materials, and other intellectual property.

While you remain an Affiliate in good standing, HorminaCare grants you a limited, non-exclusive, non-transferable, revocable permission to use promotional materials that HorminaCare expressly makes available for Affiliate promotion.

This permission does not transfer ownership of any HorminaCare intellectual property.

Affiliates may not:

  • alter HorminaCare logos or brand assets in a misleading or inappropriate manner;
  • copy substantial portions of HorminaCare's website or content without permission;
  • create a website, landing page, advertisement, or account that imitates HorminaCare's official properties;
  • use HorminaCare's intellectual property in a defamatory, misleading, unlawful, or harmful manner;
  • register domains containing "HorminaCare" or confusingly similar variations;
  • create social media usernames or accounts that could reasonably appear to be official HorminaCare accounts; or
  • register or claim rights in HorminaCare trademarks or confusingly similar names.

All goodwill arising from authorized use of HorminaCare branding belongs to HorminaCare.

16. Privacy and Patient Information

Affiliate participation does not authorize Affiliates to access HorminaCare patient records or confidential patient information.

Affiliates should not collect medical information on HorminaCare's behalf or ask referred individuals to provide private health information to the Affiliate for purposes of participating in the Program.

Referral codes should be used as the primary method of identifying an Affiliate referral.

Affiliates must handle any personal information they independently collect in accordance with applicable privacy laws and must not represent that HorminaCare has authorized them to collect information on HorminaCare's behalf unless expressly agreed in writing.

17. Program Changes

HorminaCare may modify the Program or these Terms from time to time, including changes to:

  • commission amounts;
  • patient discounts;
  • qualifying requirements;
  • available promotional methods;
  • payout processes;
  • Program technology;
  • Affiliate eligibility; or
  • other Program rules.

Where appropriate, HorminaCare will provide notice of material changes through the Affiliate dashboard, email, or another reasonable method.

Changes will apply prospectively unless otherwise stated.

If you do not agree with a change, you may discontinue your participation in the Program.

Continued participation after updated Terms take effect constitutes acceptance of the updated Terms.

18. Suspension and Termination

Either the Affiliate or HorminaCare may end participation in the Program at any time.

HorminaCare may immediately suspend or terminate an Affiliate for:

  • fraud or suspected fraud;
  • self-referrals;
  • false or misleading advertising;
  • prohibited medical claims;
  • spam;
  • misuse of referral codes;
  • impersonation or misleading brand association;
  • trademark infringement;
  • prohibited paid advertising;
  • manipulating referral attribution;
  • violation of applicable law;
  • conduct that could reasonably harm patients or HorminaCare's reputation; or
  • any material breach of these Terms.

Upon termination, the Affiliate must stop presenting themselves as a HorminaCare Affiliate and cease any unauthorized use of HorminaCare branding or promotional materials.

Legitimately earned commissions that were fully eligible before termination may remain payable unless the termination resulted from fraud, abuse, manipulation, prohibited conduct, or another violation connected with those commissions.

HorminaCare may reverse or withhold commissions associated with ineligible, fraudulent, abusive, or Terms-violating activity.

19. Monitoring and Enforcement

HorminaCare may review publicly available Affiliate promotions and request changes where necessary to ensure compliance with these Terms, applicable law, brand guidelines, or patient safety standards.

Affiliates agree to reasonably cooperate with compliance requests.

Failure to promptly correct prohibited or misleading promotional content after being notified may result in suspension or termination.

20. Independent Contractor Relationship

Affiliates participate in the Program as independent contractors.

Nothing in these Terms creates an employment, partnership, joint venture, franchise, fiduciary, agency, sales representative, healthcare-provider, or similar relationship between the Affiliate and HorminaCare.

Affiliates have no authority to:

  • enter into agreements on behalf of HorminaCare;
  • make commitments or guarantees on behalf of HorminaCare;
  • modify HorminaCare's pricing or policies;
  • bind HorminaCare to any obligation; or
  • make representations on behalf of HorminaCare beyond information HorminaCare has authorized for Affiliate use.

Affiliates are responsible for their own business expenses and any taxes associated with commissions they receive.

21. Confidentiality

If HorminaCare provides an Affiliate with non-public business, technical, financial, operational, marketing, patient, or other information identified as confidential or that a reasonable person would understand to be confidential, the Affiliate must keep that information confidential and use it only for purposes of participating in the Program.

This obligation does not apply to information that:

  • is publicly available through no breach of these Terms;
  • was lawfully known to the Affiliate before disclosure;
  • is independently developed without use of HorminaCare confidential information; or
  • must be disclosed by law.

22. Affiliate Representations

By participating in the Program, you represent that:

  • you have the legal capacity and authority to agree to these Terms;
  • your participation does not violate another agreement binding upon you;
  • information you provide to HorminaCare is accurate;
  • your promotional activities will comply with applicable laws and these Terms; and
  • you have the necessary rights to any content, images, trademarks, testimonials, or other materials you use in connection with your Affiliate promotions.

23. Disclaimer

HorminaCare does not guarantee that:

  • the Affiliate Program will be available continuously or without errors;
  • any particular Affiliate will generate referrals or commissions;
  • any particular promotional strategy will be successful; or
  • Program technology, dashboards, tracking systems, or payment systems will always operate without interruption.

Nothing in these Terms guarantees an Affiliate any minimum amount of compensation.

24. Limitation of Liability

To the maximum extent permitted by applicable law, HorminaCare will not be liable to an Affiliate for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, or loss of goodwill arising from or relating to the Program.

To the maximum extent permitted by law, HorminaCare's aggregate liability to an Affiliate arising out of or relating to the Affiliate Program will not exceed the total Affiliate commissions paid or payable to that Affiliate during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless HorminaCare and its officers, directors, employees, contractors, healthcare providers, and agents from claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of or relating to:

  • your breach of these Terms;
  • your promotional activities;
  • false, misleading, unauthorized, or unlawful representations made by you;
  • your infringement of another person's intellectual property, privacy, or other rights; or
  • your violation of applicable law.

26. No Assignment

You may not sell, transfer, sublicense, or assign your Affiliate account, referral code, rights, or obligations under the Program to another person without HorminaCare's prior written approval.

27. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada.

The parties agree that disputes arising from these Terms or the Affiliate Program will be subject to the jurisdiction of the courts of Ontario, unless applicable law requires otherwise.

28. Severability

If any provision of these Terms is found to be invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in full force and effect.

29. No Waiver

HorminaCare's failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision in the future.

30. Entire Agreement

These Terms, together with any Affiliate Program policies or guidelines expressly incorporated into them, constitute the agreement between the Affiliate and HorminaCare regarding participation in the Affiliate Program and supersede prior communications concerning the Program.

31. Acceptance

By submitting an Affiliate application, creating an Affiliate account, or otherwise participating in the HorminaCare Affiliate Program, you confirm that you have read, understood, and agree to these Terms & Conditions.
